Buy a Canadian outfitter

A clear process from the first look to the handover. BCO is hired by the seller, but a deal only works when both sides are happy, so we walk you through every step.

What you get, and when

Documents are shared in two stages. That protects the seller and keeps things moving for serious buyers.

Stage 1 · Right after the NDA

The Business Package

  • Business name, exact location and maps
  • Business summary and profit and loss overview
  • Recorded interview with the owner
  • Photos and supporting documents

Sign the NDA online. A copy and the package link are emailed to you right away.

Stage 2 · After proof of funds

Detailed financials

  • Financial statements
  • Corporate tax returns
  • Allocation and licence details

Ask for these from the link in your package email. Jacob reviews each request personally.

The buying process, step by step

  1. Step 1: Review the materials

Read the Business Package, watch the owner interview, and look over the profit and loss summary.

  2. Step 2: Ask your questions

Email or call Jacob with any questions about the business or the process.

  3. Step 3: Call with Jacob

Unless we've already worked together, we set up a short call to go over the process and get to know you.

  4. Step 4: Call with the owner

Jacob introduces you to the seller, then steps back so the two of you can talk directly. This call is about getting to know each other, not negotiating.

  5. Step 5: Make an offer

Send a formal Letter of Intent (LOI) or a short list of your key terms. We can give you templates for either.

  6. Step 6: Sign the Letter of Intent

Once you and the seller agree, you both sign the LOI. It becomes official and exclusive when you provide proof of funds.

  7. Step 7: Due diligence

We set up a secure folder where the seller provides the third-party documents that verify the financials and operations. Your accountant or advisors get access as needed. This is the time for a site visit.

  8. Step 8: Asset Purchase Agreement

Near the end of due diligence, an Asset Purchase Agreement (APA) is drafted for both sides to review and negotiate. We can provide a template.

  9. Step 9: Closing

After the APA is signed and funds are confirmed in escrow, the assets transfer to you, usually within one business day. The seller is then paid from escrow.

  10. Step 10: Training and handover

A training period, set out in the APA, starts right after closing so the handover goes smoothly.
